These Terms of Service (the “Terms”) govern your access to use of the services, products, content, websites, applications, APIs, and other related features made available by Coinebi.com (“Coinebi,” “we,” “us,” or “our”).
By accessing, registering for, or using Coinebi.com or any related services, you confirm that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy and any other policies, guidelines, or rules published on the Platform from time to time. If you do not agree to these Terms, you must not access or use Coinebi.com.
Coinebi is a global cryptocurrency exchange established in 2026 and registered in St. Lucia.
1. Definitions
1.1 “Coinebi” refers to the operator of Coinebi.com and any affiliated entity responsible for providing the services under these Terms.
1.2 “Platform” means Coinebi.com, its mobile applications, software, APIs, tools, and any related services or interfaces through which Coinebi makes its services available.
1.3 “Services” means any products, functions, or services provided by Coinebi, including but not limited to Spot Trading, Swap, Futures Trading, Staking, Investment Boxes, wallet-related functions, account services, API access, and other services introduced from time to time.
1.4 “User,” “you,” or “your” means any individual or entity accessing or using the Platform or Services.
1.5 “Digital Assets” means cryptocurrencies, tokens, stablecoins, or other blockchain-based digital assets supported by Coinebi from time to time.
2. Acceptance of Terms
By using the Platform, you represent and warrant that:
2.1 You are at least 18 years old or the age of legal majority in your jurisdiction, whichever is higher.
2.2 You have full legal capacity and authority to enter into these Terms.
2.3 Your use of the Platform does not violate any applicable law, regulation, sanction, or restriction in your country of residence, nationality, or location.
2.4 You are not located in, incorporated in, or ordinarily resident in any jurisdiction restricted by Coinebi from time to time.
2.5 You will use the Services only for lawful purposes and in accordance with these Terms.
If you do not meet all eligibility requirements, you must not use the Platform.
3. Restricted Jurisdictions and Prohibited Users
3.1 Coinebi may restrict or prohibit access to the Platform or specific Services in certain jurisdictions at its sole discretion and without prior notice.
3.2 Users located in restricted jurisdictions, or who are subject to sanctions, watchlists, embargoes, or similar legal or regulatory restrictions, are not permitted to use the Platform.
3.3 You must not use VPNs, proxies, or any other tools to bypass geographic or regulatory restrictions imposed by Coinebi.
3.4 Coinebi reserves the right to suspend, restrict, or terminate accounts that attempt to circumvent such restrictions.
4. Changes to These Terms
4.1 We may amend, revise, or update these Terms from time to time.
4.2 Updated Terms will become effective when posted on the Platform, unless otherwise stated.
4.3 Your continued use of the Platform after any update constitutes your acceptance of the revised Terms.
4.4 You are responsible for reviewing these Terms periodically.
5. Services Provided by Coinebi
5.1 Coinebi provides users with access to cryptocurrency-related services, including:
- Spot Trading
- Swap
- Futures Trading
- Staking
- Investment Boxes
- Other related services introduced from time to time
5.2 Coinebi may add, modify, suspend, or discontinue any Service or feature at any time, with or without notice, at its sole discretion.
5.3 Availability of Services may vary based on your jurisdiction, account status, verification level, asset type, or internal compliance requirements.
5.4 Coinebi does not guarantee that any asset, market, product, yield, or feature will remain available.
6. Account Registration and Security
6.1 To access certain Services, you must create an account on Coinebi.
6.2 You agree to provide accurate, complete, and up-to-date information during registration and while using the Platform.
6.3 You are solely responsible for maintaining the confidentiality and security of your account credentials, devices, email account, two-factor authentication methods, and any API keys.
6.4 You are responsible for all activities conducted through your account, whether authorized by you or not, unless otherwise required by applicable law.
6.5 You must notify Coinebi immediately if you suspect unauthorized access, suspicious activity, loss of credentials, or any security breach related to your account.
6.6 Coinebi may require identity verification, enhanced due diligence, or additional information at any time.
7. Identity Verification and Compliance
7.1 Coinebi may require you to complete identity verification (KYC) and other compliance checks before permitting access to some or all Services.
7.2 You agree to provide all documents, information, and declarations reasonably requested by Coinebi for identity verification, anti-money laundering (AML), sanctions screening, fraud prevention, or risk assessment.
7.3 Coinebi may suspend, restrict, or terminate access to your account if:
- your verification is incomplete or unsuccessful;
- your information appears false, misleading, or outdated;
- your account raises legal, compliance, fraud, security, or risk concerns.
7.4 Coinebi may disclose information to regulators, courts, law enforcement, or financial institutions where required by law or reasonably necessary for compliance and risk management purposes.
8. User Obligations
You agree that you will not:
8.1 Use the Platform for unlawful, fraudulent, deceptive, abusive, or manipulative purposes.
8.2 Engage in money laundering, terrorist financing, sanctions evasion, market manipulation, wash trading, spoofing, abusive trading practices, or any illegal financial activity.
8.3 Use another person’s identity, documents, payment method, wallet, account, or credentials without authorization.
8.4 Upload malware, attempt unauthorized access, exploit vulnerabilities, overload systems, interfere with operations, or bypass security controls.
8.5 Use the Platform in any way that may harm Coinebi, its users, partners, systems, reputation, or regulatory standing.
8.6 Misrepresent your location, identity, residency, nationality, or source of funds.
9. Trading Rules
9.1 By placing an order or submitting an instruction on the Platform, you authorize Coinebi to process that instruction in accordance with your selected parameters and the applicable market conditions.
9.2 You are responsible for reviewing all trade details before confirming any transaction, including price, quantity, direction, fees, leverage, and settlement terms.
9.3 Execution of trades is not guaranteed. Orders may remain unfilled, partially filled, delayed, canceled, rejected, or affected by system or market conditions.
9.4 Coinebi may cancel, reject, reverse, or void transactions where reasonably necessary to address errors, abnormal market activity, technical issues, security incidents, unlawful conduct, or risk events.
9.5 Coinebi is not your broker, advisor, agent, fiduciary, or investment manager. You make all trading decisions at your own risk.
10. Spot Trading and Swap
10.1 Spot Trading allows users to buy and sell supported Digital Assets at available market or order-book prices.
10.2 Swap allows users to exchange one supported Digital Asset for another, subject to pricing, liquidity, fees, and availability.
10.3 Prices displayed on the Platform may change rapidly and are not guaranteed until a transaction is executed.
10.4 Coinebi reserves the right to suspend, delist, restrict, or remove any trading pair or asset at any time.
11. Futures Trading
11.1 Futures Trading involves significant risk and may not be suitable for all users.
11.2 By using Futures Trading, you acknowledge and accept the risks of leverage, volatility, liquidation, forced position reduction, auto-deleveraging, margin calls, and rapid loss of capital.
11.3 Coinebi may apply risk controls, including but not limited to:
- leverage limits,
- position limits,
- margin requirements,
- forced liquidation,
- order cancellation,
- temporary trading restrictions,
- account-level controls.
11.4 Coinebi may reduce, close, liquidate, or otherwise manage your position if risk controls are triggered or if necessary to protect the Platform, users, market integrity, or compliance obligations.
11.5 You are solely responsible for monitoring your positions, collateral, margin level, and market conditions.
12. Staking and Investment Boxes
12.1 Coinebi may provide earning products, including Staking and Investment Boxes.
12.2 These products may involve lock-up periods, variable returns, network-level risks, smart contract risks, validator risks, third-party risks, or market loss.
12.3 Any displayed returns, estimated yields, or rewards are indicative only and are not guaranteed unless expressly stated.
12.4 Coinebi may amend, suspend, terminate, or adjust eligibility, reward rates, lock-up periods, supported assets, or product conditions at any time.
12.5 Participation in Staking or Investment Boxes is at your own risk.
13. Deposits and Withdrawals
13.1 Deposits and withdrawals are subject to asset support, network availability, internal controls, compliance review, and security procedures.
13.2 You are solely responsible for providing accurate wallet addresses, memo/tag information, and network selections.
13.3 Coinebi is not responsible for losses resulting from incorrect address details, wrong network selection, incompatible wallets, user error, blockchain issues, or third-party failures.
13.4 Coinebi may delay, reject, limit, or suspend withdrawals or deposits where required for security, compliance, investigation, risk management, or operational reasons.
14. Fees
14.1 You agree to pay all applicable fees, charges, spreads, commissions, funding payments, penalties, or other costs associated with your use of the Services.
14.2 Applicable fees may be published on the Platform and updated from time to time.
14.3 Coinebi may change fees at any time, and such changes become effective when posted unless otherwise stated.
14.4 You authorize Coinebi to deduct applicable fees from your account balances or transaction proceeds where relevant.
15. Delisting and Service Changes
15.1 Coinebi may delist any Digital Asset, remove trading pairs, discontinue support, or terminate related services at any time.
15.2 Where reasonably practicable, Coinebi may publish a notice regarding delisting and any withdrawal deadline.
15.3 After any announced deadline, Coinebi may restrict access to the affected asset or service.
15.4 Coinebi is not liable for losses arising from asset delisting, market changes, service suspension, or support termination.
16. API Use
16.1 If Coinebi provides API access, your use of the API is subject to these Terms and any additional API documentation, rules, or restrictions.
16.2 You may not use the API to:
- overload or disrupt the Platform;
- bypass platform rules or controls;
- engage in unlawful or manipulative trading;
- reverse engineer or exploit system vulnerabilities;
- resell or misuse API access without authorization.
16.3 You are solely responsible for the security and use of your API credentials and any actions taken through them.
16.4 Coinebi may limit, suspend, modify, or terminate API access at any time.
17. Risks
You acknowledge and accept that the use of cryptocurrency services involves substantial risk, including but not limited to:
17.1 price volatility and sudden market movements;
17.2 liquidity shortages;
17.3 partial or total loss of assets;
17.4 liquidation risk in leveraged products;
17.5 technology failures, system outages, smart contract vulnerabilities, and cyberattacks;
17.6 forks, token migrations, protocol failures, or blockchain congestion;
17.7 regulatory actions, sanctions, legal restrictions, or tax consequences;
17.8 project-specific risks related to listed tokens or supported networks.
You understand that all trading, holding, staking, investing, and transferring of Digital Assets is done entirely at your own risk.
18. No Financial, Legal, or Tax Advice
18.1 Coinebi does not provide investment, financial, tax, accounting, or legal advice.
18.2 Any information, market data, educational content, announcements, or materials on the Platform are provided for general informational purposes only.
18.3 You are solely responsible for evaluating whether any transaction, product, or strategy is suitable for you.
18.4 You should seek independent professional advice before making financial or legal decisions.
19. Suspension, Restriction, and Termination
19.1 Coinebi may suspend, freeze, restrict, or terminate your access to the Platform or any Service at any time, with or without prior notice, where reasonably necessary for legal, compliance, security, operational, or risk reasons.
19.2 Reasons may include, without limitation:
- suspected fraud or illegal activity;
- violation of these Terms;
- sanctions or regulatory concerns;
- abnormal account behavior;
- disputes regarding ownership or authority;
- failure to provide requested information;
- technical or security incidents.
19.3 Coinebi may also freeze assets, cancel orders, restrict withdrawals, close positions, or take other protective actions where appropriate.
19.4 Termination does not affect any rights, liabilities, obligations, or provisions intended to survive termination.
20. Intellectual Property
20.1 All content, software, trademarks, logos, designs, text, graphics, interfaces, and materials on the Platform are owned by Coinebi or its licensors and are protected by applicable intellectual property laws.
20.2 You may not reproduce, modify, distribute, scrape, reverse engineer, republish, or exploit any part of the Platform without prior written permission.
20.3 Unauthorized use of Coinebi branding, content, or systems is strictly prohibited.
21. Privacy
Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect your information.
22. Disclaimer of Warranties
22.1 The Platform and Services are provided on an “as is,” “as available,” and “where available” basis.
22.2 To the fullest extent permitted by law, Coinebi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, or uninterrupted operation.
22.3 Coinebi does not guarantee that:
- the Platform will always be available, secure, or error-free;
- transactions will always be executed, settled, or completed;
- any listed asset, product, or yield will remain available;
- the Platform is free from bugs, malware, downtime, or vulnerabilities.
23. Limitation of Liability
To the fullest extent permitted by law:
23.1 Coinebi shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenues, opportunity, goodwill, data, or digital assets.
23.2 Coinebi shall not be liable for losses arising from:
- market volatility or liquidation;
- your trading decisions;
- account compromise not caused by Coinebi’s gross negligence where applicable;
- blockchain failures or third-party service providers;
- delays, downtime, outages, or maintenance;
- delisting, suspensions, or regulatory actions;
- user mistakes, including incorrect wallet details or failure to follow instructions.
23.3 Where liability cannot be excluded, Coinebi’s total liability shall be limited to the amount of fees paid by you to Coinebi in the 12 months preceding the event giving rise to the claim, unless otherwise required by law.
24. Indemnification
You agree to defend, indemnify, and hold harmless Coinebi, its affiliates, directors, officers, employees, agents, partners, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your breach of these Terms;
- your misuse of the Platform;
- your violation of any law or regulation;
- your infringement of any third-party rights;
- any dispute between you and any third party related to your use of the Services.
25. Force Majeure
Coinebi shall not be liable for any delay, interruption, failure, loss, or damage caused by events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, internet failures, blockchain disruptions, labor disputes, war, terrorism, sanctions, government actions, utility failures, or market-wide disruptions.
26. Notices and Communications
26.1 You agree to receive communications from Coinebi electronically, including by email, platform notice, SMS, or other digital means.
26.2 You are responsible for keeping your contact information accurate and up to date.
26.3 Notices posted on the Platform may be considered effective upon publication.
27. Governing Law and Dispute Resolution
27.1 These Terms shall be governed by and construed in accordance with the laws of St. Lucia, without regard to conflict of laws principles.
27.2 Any dispute, claim, or controversy arising out of or in connection with these Terms or the use of the Platform shall be resolved through St. Lucia's Jurisdiction System.
27.3 Coinebi may seek urgent injunctive or equitable relief in any court of competent jurisdiction where necessary to protect its rights, systems, or users.
28. Miscellaneous
28.1 These Terms constitute the entire agreement between you and Coinebi regarding the Platform and Services, unless expressly supplemented by another written agreement.
28.2 If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
28.3 Coinebi’s failure to enforce any right or provision shall not constitute a waiver.
28.4 You may not assign or transfer your rights or obligations under these Terms without Coinebi’s prior written consent. Coinebi may assign its rights and obligations at any time.
28.5 Section headings are for convenience only and do not affect interpretation.
